General Terms & Conditions of Sale

Article 1. Purpose

The purpose of these General Terms and Conditions of Sale (or "GTCS") is to define the terms and conditions of admission and the operating rules of the "Paris Society Unlimited" loyalty program (hereinafter the "Program") offered by NOCTIS EVENT, société par actions simplifiée (simplified joint stock company) registered in the Paris Trade and Companies Register under no. 433 855 103, with its registered office at 38 avenue des Champs Élysées - 75008 Paris (France).

The GTCS apply in full and without reservation to any customer wishing to join the Program (hereinafter referred to as the "Applicant") or to be admitted as a member of the Program (hereinafter referred to as the "Member") in accordance with the terms and conditions set out below.

The Program enables Members to take part in private events, access a dedicated interface on the existing application and to benefit from specific offers and advantages within NOCTIS EVENT's participating establishments (restaurants and hotels only), the list of which is regularly communicated to the Member.

These GTCS apply without prejudice to any rules or regulations applicable in the participating establishments, particularly in terms of opening hours, access for children or disabled persons, access to certain facilities or services, safety regulations, or the admission of pets. The Member is invited to take note of these rules or instructions before making a reservation.

Article 2. Membership conditions

All applications to join the Programme must be made by the Candidate via the Paris Society application (hereinafter the ‘Application’) or via a tab on the Paris Society website, providing the required information: surname, first name, date of birth, postal address, email address, telephone number and bank details.

The information provided by the Applicant must be complete, accurate and truthful. In order to ensure the accuracy of the information relating to the Candidate's age, proof of identity may be requested.

By completing and submitting a membership application on the <www.paris-society.com> website, each member agrees to comply with these rules and with the GTCS, of which they declare that they are aware.

The Membership Committee meets every quarter and admits new members when places are available. The Membership Committee alone decides who becomes a Paris Society Unlimited member on the basis of the criteria mentioned in this article.

NOCTIS EVENT reserves the right to refuse any membership application and will inform the Applicant accordingly. All membership applications are subject to prior validation by NOCTIS EVENT, based on criteria such as the Applicant's frequentation of NOCTIS EVENT establishments registered in the Loyalty Program, or the Applicant's possible relationships with other Loyalty Program Members.

If the membership application is accepted and confirmed by NOCTIS EVENT by e-mail, the registration fee will be debited from the bank details provided at the time of the membership application.

Membership is valid for one (1) year from the date of NOCTIS EVENT's confirmation email and may be renewed on expiry subject to NOCTIS EVENT's acceptance of the membership renewal and payment of a new fee.

Membership is strictly reserved for people aged 27 or over, unless an exception is made at the discretion of NOCTIS EVENT.

NOCTIS EVENT reserves the right to request an identity document from the Applicant to verify that he/she is of the age required to join the Loyalty Programme.

Members are free to withdraw their application at any time before it is accepted. To do so, they should contact our Membership Committee at unlimited@paris-society.com.

If the membership application is accepted, Noctis Event will confirm this by e-mail. Annual membership will commence on the date of dispatch of this e-mail.

Article 3. Issue of a membership card

The Member receives a unique membership card upon joining the Program, together with a detailed presentation of the Program's offers, by post to the postal address indicated in the membership application.

The membership card is personal and strictly non-transferable. The card may only be used by the Member whose name appears on it. It may not be sold, lent, or transferred. Each Member may hold only one card and undertakes to inform NOCTIS EVENT without delay in the event of loss or damage.

The membership card is not a means of payment and does not guarantee the reservation.

A member's second absence from a reservation made in his or her name, whether for a restaurant, a hotel, a spa, or any type of event under the Program, will result in immediate termination of membership, and the member will no longer be entitled to the rights and benefits associated with the Loyalty Programme or to any refund.

The membership card can be requested from the Member at the establishments involved in the Program. In the event that the Member allows a non-member to use their card, that non-member will be denied access to the establishment or will be expelled, and the Member may have their membership suspended or terminated.

Article 4. Access to the Application

Members have access to the Paris Society Unlimited section on the Application, which they can download, install and use from their smartphone (iOS or Android) to access their Member profile and make reservations at establishments participating in the Program, in accordance with the terms and conditions described in Article 5 below.

The list of participating establishments and the benefits associated with membership are detailed in the presentation sent to the Member with the membership card and in the Application.

Article 5. Reservations

The Member may, by contacting the participating establishment directly or via the Application, make reservations in establishments participating in the Program and benefit from personalized offers and advantages.

With regard to catering offers, the Member is offered in the participating establishments, depending on his/her request and availability, and for any table of up to 5 (five) people, a table offering a privileged view and location in the establishment in accordance with the preferences generally expressed by the establishment's clientele and meeting the Member's expressed needs.

Article 6. Member's obligations

The Member undertakes to use his or her membership, membership card and/or the Application in accordance with these GTCS. They are responsible for all activities carried out in their capacity as Member, with their membership card and/or with their account.

Members agree to comply with the Paris Society Unlimited rules, as well as the rules and regulations of participating establishments.

The Member acknowledges and accepts that Member benefits may be subject to certain conditions, such as specific times or restrictions on the number of participants. Any difficulty relating to a reservation is dealt with on a case-by-case basis and may be referred to NOCTIS EVENT as indicated in article 13 below.

Article 7. Membership fees

Membership requires payment of a one-off membership fee valid for as long as the Member remains a member, and an annual fee, the amount of which is set by NOCTIS EVENT and indicated at the time of application for membership or renewal.

If the membership application is accepted and confirmed by NOCTIS EVENT by email, the membership fee will be debited from the bank details provided during the membership application.

The amount of the one-off membership fee, to be paid upon joining the Program, is :

(a) 300 euros for members applying for individual membership under 33 years of age ;

(b) 500 euros for members applying for individual membership aged 33 and over ; and

(c) 750 euros for members applying for couple membership.

The annual membership fee is :

- 500 including tax for a single person aged between 27 and 33 at the time of application ;

- 1,000 including tax for a single person aged 33 or over and ;

- 1,700 including tax for a couple.

NOCTIS EVENT reserves the right to ask the Applicant for proof of identity when applying for membership or renewing membership, in order to determine the amount of the aforementioned fees.

Payment of the membership fee is made online only, by credit card via the "Adyen" secure payment solution. The Member accepts and acknowledges that the use of this payment solution is subject to Adyen's terms and conditions.

The Member agrees and consents to be charged all membership fees under the conditions described in this article, in the manner requested by Noctis Event at the time of approval or renewal of their application, including any welcome fees and any periodic fees. Noctis Event reserves the right to modify the aforementioned fees at each annual due date, provided that the Member is notified promptly and has given their acceptance before the modified rates take effect.

In the event of non-payment of the annual membership (or any installment thereof) within the specified timeframe, the Member's membership will be terminated.

Article 8. Right of withdrawal

In accordance with article L. 221-28 of the French Consumer Code, the Member benefits from a right of withdrawal of 14 (fourteen) clear days from the date of subscription to the Program (formalized by payment via Adyen), without having to give any reasons or pay any penalties, unless the Member has, within this 14-day period, already benefited from the advantages linked to his/her membership.

To exercise this right, the Member must notify his or her decision to withdraw in writing, by post, to the following address NOCTIS EVENT - Programme Paris Society Unlimited - 38, avenue des Champs Élysées - 75008 Paris.

The withdrawal period is deemed to have been respected if the notification is sent before expiry of the aforementioned 14-day period.

In the event of withdrawal, the benefits and obligations resulting from membership will be cancelled, and NOCTIS EVENT will refund the final membership fee in full as soon as possible, and no later than 30 (thirty) days following receipt of the withdrawal notice.

Article 9. Duration - Termination

These GTC apply for the entire duration of the Member's membership of the Loyalty Programme, i.e. a period of 12 months renewable by tacit agreement on each anniversary date, subject to full payment by the Member of the membership fee.

NOCTIS EVENT will inform the Member of the automatic renewal of its membership by e-mail at least one month before the end of the current membership period.

The Member will have the option of refusing the renewal of its membership by replying to the aforementioned letter no later than 5 days before the renewal date. Failing this, the renewal will be considered accepted and the membership fee due.

The Member may terminate their membership each year before renewal.

NOCTIS EVENT may also terminate membership or refuse renewal in the event of non-compliance by the Member with all or part of the GTCS and/or the rules or instructions of the establishments visited, without reimbursement of the membership fee paid by the Member and without prejudice to obtaining compensation for any damage suffered.

In the event of a serious breach by one of the parties of one of its essential contractual obligations, the other party is entitled to terminate the GTCS automatically and by operation of law, without recourse to legal proceedings, 1 (one) month after formal notice has been sent to the defaulting party by registered letter with acknowledgement of receipt, and if no corrective action has been taken within 1 (one) month of receipt of said formal notice.

Article 10. Disciplinary procedure

Members or guests whose conduct may damage the reputation and integrity of Paris Society Group establishments will have their membership suspended and/or be expelled from the establishment.

Actions that will not be tolerated include inappropriate, violent, abusive or intimidating behaviour ; any form of harassment or discrimination based on religion, origin, sexual orientation, gender, age or disability ; possession or use of illegal substances or objects ; any behaviour damaging the property of the Paris Society Group establishments ; as well as the disclosure of information about Paris Society Group establishments, its members or guests to the media and/or on social networks.

Inappropriate, violent or abusive behaviour will not be tolerated, nor will the disclosure of information about Paris Society Group establishments, its members or guests to the media.

An expelled member may not return as a guest to Paris Society Unlimited events. An expelled member loses all the privileges of membership without being entitled to a refund of the membership fee.

Members who willfully steal, damage or destroy property belonging to Noctis Event, its members or guests on the premises will be subject to expulsion and/or risk suspension or termination of membership.

Each member undertakes to comply with the Noctis Event’s statutes, rules and regulations in all circumstances, as soon as he or she is accepted as a member. If Noctis Event considers, at its sole discretion, that the conduct of a member (or his/her guests) inside or outside an establishment is contrary to the interests of Noctis Event, Noctis Event may, with immediate effect, expel the member or guest from its premises and/or suspend or terminate the membership of such member, without having to give any reason.

Article 11. Force majeure

Each of the parties shall be exonerated from all liability in the event of total or partial breach, even temporary, of any of its obligations under these GTCS caused by a case of force majeure, defined as an event of an insurmountable and irresistible nature, resulting from an event beyond the control of the parties, and in particular any event or series of events of a climatic, pandemic, bacteriological, military, political or diplomatic nature.

In the event of a case of force majeure, the party concerned will promptly notify the other party of the situation by any means (including e-mail), specifying the nature of the event or events in question and their impact on its ability to fulfill its obligations, and its obligations will be suspended for a period of 4 (four) weeks. After this period of suspension, and if the party concerned justifies that the situation of force majeure continues, the contract will be terminated by operation of law after sending a new notification by any means (including email).

We remind you that, in accordance with case law, the debtor of an obligation to pay may not invoke a case of force majeure to excuse himself from this obligation.

Article 12. Confidentiality

Noctis Event’s management and all members of staff are bound by extremely high standards of confidentiality and undertake to treat all files and personal information of members and their guests as strictly confidential.

Article 13. Protection of personal data

NOCTIS EVENT is responsible for processing the personal data provided or communicated by the Applicant and the Member.

In this respect, NOCTIS EVENT undertakes to comply with the French Data Protection Act n°78-17 of January 6, 1978 and the General Data Protection Regulation ("GDPR") of April 27, 2016.

The processing of personal data is based on the performance of the contract binding the Member to NOCTIS EVENT, in the context of his/her membership of the Programme and the use of Member status. It is processed for the sole purpose of providing the associated services and benefits, for the entire period necessary for the processing concerned.

The processing of personal data is carried out with the consent of the persons concerned and/or for the purposes of providing the services and benefits linked to the Program, for as long as is necessary for the processing concerned.

The personal data concerned includes identifying information such as the surname, first name, date of birth, telephone number, e-mail address, postal address, sector of activity, profession and social networks of the Candidate and the Member.

Candidate data is kept for 5 (five) years from the date of transmission, after which it is deleted.

Member data is kept for the duration of the membership and for a further period of 5 (five) years after the end of the membership, in application of the limitation period set out in article 2224 of the French Civil Code.

Information on the Member's family, such as the surname and first name of the spouse, is only collected if the Member communicates it, and the Member undertakes to inform the person concerned of this communication.

NOCTIS EVENT does not process "sensitive" data. Comment fields, which do not have to be filled in, can be used by Members to add information when making a reservation.

Personal data may be used for communications and promotional offers, unless the Member objects.

NOCTIS EVENT's use of partners or subcontractors may involve the sharing of all or part of the data; NOCTIS EVENT undertakes to obtain from its partners and/or subcontractors commitments and guarantees of compliance with the GDPR.

NOCTIS EVENT undertakes to implement security measures to protect personal data, in particular against any unauthorized access or intrusion into its network and databases.

Members have the right to access, rectify, modify and/or delete their personal data by writing to: données.privées@paris-society.com. NOCTIS EVENT will respond to such a request within a maximum of 30 (thirty) days.

For any questions or additional information, the Member may consult the Privacy Policy and, if necessary, consult or file a complaint with the CNIL (<www.cnil.fr>).

Article 14. Intellectual property rights

The Member acknowledges that the NOCTIS EVENT trademarks are the valid, sole and exclusive property of NOCTIS EVENT, its parent company, its affiliated companies and/or its subsidiaries.

The Member undertakes not to use and/or reproduce the names, logos, colours, trademarks, photographs, trade dress or other characteristics used to identify NOCTIS EVENT, its establishments and companies or subsidiaries, without the prior written consent of NOCTIS EVENT.

Similarly, any reproduction or use of the trademarks and intellectual property rights of NOCTIS EVENT for the purposes of illustrating documents (on any media), communicating and/or distributing marketing, advertising or promotional material (including, but not limited to, brochures, leaflets, invitations and electronic messages) may not be made without the prior written consent of NOCTIS EVENT.

Article 15. Claims - Liability – Security

NOCTIS EVENT's liability is limited to direct damage caused by a proven fault and, in any event, capped at the amount of the annual membership fee applicable at the date of the damage.

For security reasons, Noctis Event uses video surveillance in all its establishments. Noctis Event asks members and their guests to take this into account.

Article 16. Membership directory

Each member agrees to be listed in the directory of members and, to this end, to provide Noctis Event with their personal details (first and last name) and photo. This data is processed and stored under the conditions described in these GTCS.

If the member's contact details or payment details change, they must inform Noctis Event via their personal space or by contacting their relationship manager.

Article 17. Guests

The member may be authorised by Noctis Event to invite one or more non-members (individuals) to certain private events organised within the Paris Society Group establishments.

The member's guests will not be admitted to any event without the member's presence.

Members must ensure that their guests comply with all of these rules.

Members will be held responsible for any failure by their guests to comply with these rules.

Article 18. Children

Noctis Event is designed for adults, but also welcomes children. Members must take into consideration the other members present when bringing children, who are considered to be their guests, and ask each establishment for its house rules concerning children, as these may vary. Members should remember that the children they bring into Paris Society Group establishments are their responsibility and should never leave them unsupervised.

Article 19. Dress code

Noctis Event favours a chic and cool atmosphere.

Customers choose Paris Society Group establishments to enjoy a top-of-the-range experience in terms of architecture, cuisine and service, in exceptional locations that are often steeped in history (Palais de Tokyo, Cité de l'architecture et du patrimoine, Palais Garnier, etc.).

Members must therefore dress appropriately. In the event of inappropriate dress, Noctis Event has the right to refuse entry to Paris Society Group establishments.

Members are responsible for ensuring that their guests observe this rule.

Article 20. Privacy of Members/guests

Members and their guests must not accost, disturb or solicit other Paris Society Unlimited members, unless they know them personally.

Any intrusive behaviour may result in suspension or termination of membership.

Article 21. Press/Social networks

Without prejudice to the internal regulations applicable in each Paris Society Group establishment, members undertake to adopt a courteous, polite and discreet attitude, respectful of other members and staff, and in particular to comply with the following rules:

- to maintain the confidentiality of events at all times and in all places and not to divulge any information relating to other members or their presence(s);

- respect the areas, facilities and equipment made available, so as not to interfere with the smooth running of events;

- refrain from any action that could damage the reputation or safety of members, staff or facilities.

If members or their guests disclose the presence or publicly identify other Paris Society Unlimited members or guests in the press or on social networks, including Facebook, Twitter (X), Instagram and personal blogs, these members will be held responsible.

Similarly, members and their guests must refrain from identifying or describing any private parties or events reserved for Paris Society Unlimited members organised in the establishments.

Article 22. Drugs/Illicit substances/Illegal objects

Members or guests must not under any circumstances purchase, use, ingest, possess, sell or distribute drugs or other illegal substances. Members or guests must not under any circumstances ask staff to provide them with drugs or other illegal substances within the premises or in its immediate neighbourhood. If any of the above actions are proven, the member and/or guest concerned will be immediately expelled and the member's membership will be terminated.

Members or guests must not under any circumstances buy, sell, use or possess any illegal or offensive items within the Paris Society Group establishments or in its immediate neighbourhood. If such items are found, they will be immediately confiscated, the member and/or guest concerned will be evicted, the member's membership will be terminated, and depending on the circumstances, Noctis Event may need to contact the police or authorities.

Article 23. Bills

Bills for services received in Paris Society Group establishments must be paid in full before leaving said establishments. Noctis Event does not accept deferred payments. Each member is responsible for the purchases of their guests; if they remain unpaid, the membership of that member may be suspended.

Article 24. Food and drink

Noctis Event asks each member not to bring food or drink purchased outside Paris Society Group establishments, unless the member needs it for medical reasons.

Article 25. Private events and maintenance of the premises

Noctis Event has the right to close part or all of a Paris Society Group establishment for private events, or to carry out maintenance, repair or renovation work.

When Noctis Event closes an establishment for private events, Noctis Event asks each member to respect the confidentiality of the events organised and to refrain from communicating any information to third parties, in any medium whatsoever.

In the event of partial or total closure of an establishment for maintenance, repair or renovation work, or if Noctis Event deems it preferable to remove access to certain facilities or services that may present risks to the health or safety of its members, guests or staff, or that may be detrimental to the establishment, Noctis Event will ensure that these spaces, facilities or services are restored as soon as possible.

Article 26. Members-only events

Noctis Event appreciates hearing how its members and their guests enjoy Paris Society Group establishments.

As a member or guest, Noctis Event may ask each member for their opinions and feelings about Paris Society Group establishments. Noctis Event may also film or photograph members-only events and activities for use in its membership programs, advertising campaigns, public relations and other commercial/professional purposes.

Article 27. Accidents and injuries

Noctis Event wants all members and guests to be able to relax and enjoy the activities and facilities offered at Paris Society Group establishments in complete safety.

It should be noted that some of the Paris Society Group establishments are located outdoors, by the sea, in the countryside, near lakes and other natural features that may be hazardous. Members and their guests agree to abide by the Paris Society Unlimited rules, and all signs published or displayed in Paris Society Group establishments, at all times; never to swim

outside designated areas; and to take all necessary precautions when exploring the surroundings or using the facilities.

In the event that a member or guest has an accident or suffers an injury in or near a Paris Society Group establishment, they must inform a member of staff as soon as possible and in any event within 24 hours of the incident. In addition to informing Noctis Event of the condition of each member or guest, this information is necessary to assist Noctis Event in meeting its health and safety obligations and for insurance purposes.

Article 28. Pets

Pets are tolerated in Paris Society Group establishments under 8kg.

Article 29. Rights and privileges of membership

Each member is entitled to all the rights and privileges granted to a person in his or her capacity as a member, and is subject to these rules, but has no right of ownership in any premises or property of Noctis Event.

The rights and privileges granted to members of the Paris Society Unlimited programme are as follows:

  1. Free birthday lunch.

The offer is valid for the member's birthday, and if the member attends the lunch.

The offer applies to two people only.

The offer is valid only in Paris Society Group restaurants located in France, excluding Apicius.

The offer includes food only, excluding alcoholic beverages and excluding the following exceptional products : Caviar - Truffle - Wagyu - King Crab - Lobster – Tomahawk.

The offer cannot be combined with other benefits or promotions.

  1. 20% weekday discount at the Abbaye des Vaux de Cernay applicable on the rate. FLEXIBLE BB (including breakfast and afternoon tea as well as a selection of activities), as detailed on the establishment website.

The offer is valid only under the conditions in force for the above-mentioned FLEXIBLE BB fare .

The offer is subject to NLRA conditions, as detailed on the establishment website.

The offer is valid only from Sunday to Thursday and excluding public holidays (to be confirmed).

Until 30 June 2026, the offer is not valid on the eve of public holidays, during the 11 November 2025 bridge and during school holidays at Christmas time in 2025 and 2026.

The offer is valid for all room categories at the Abbey, the Stud Farm, the Farmhouse and the Pavilions.

The offer is valid only for the room occupied by the member, even if several rooms are booked.

The offer is only valid if the booking is made directly on the Abbaye des Vaux de Cernay website or via the Paris Society Unlimited membership team.

The offer is not valid if the booking is made via a partner website or a sales representative other than Noctis Event (Paris Society Group establishments).

The offer is not valid in the event of discounts or promotions being offered at the Abbaye des Vaux de Cernay.

In the event of privatisation, Noctis Event reserves the right to cancel or postpone the reservation (according to the member's choice), up to 15 days before arrival.

  1. 20% weekday discount at the Refuge de Solaise applicable on the FLEXIBLE BB (including breakfast) or RO (not including breakfast) rate, as detailed on the establishment website.

The offer is subject to NLRA conditions, as detailed on the establishment website.

The offer is valid only from Sunday to Thursday and excluding public holidays.

In the event of privatisation, Noctis Event reserves the right to cancel or postpone the reservation (according to the member's choice), up to 15 days before arrival.

The offer is valid only for rooms and dormitories and not for flats.

Until 30 June 2026, the offer is not valid on the eve of public holidays, during school holidays during the Christmas period in 2025 and 2026, and during all winter school holidays in zone C.

  1. Upgrade at the Abbaye des Vaux de Cernay and the Refuge de Solaise

This offer is valid only for the room occupied by the member, even if several rooms are booked.

This offer is subject to availability at the establishment concerned.

The offer is not valid automatically, and must be requested in advance by the member in writing, and requires confirmation from the establishment concerned.

In addition to these conditions, the offer is only valid under the conditions set out for offers n°2 and 3 above.

The offer is valid only in accordance with the conditions in force for the above-mentioned FLEXIBLE BB or RO tariff.

  1. Early check-in and late check-out at the Abbaye des Vaux de Cernay and the Refuge de Solaise.

This offer is not applicable at weekends.

This offer is only valid if specified at the time of booking.

  1. Same-day table guaranteed for bookings made up to three hours in advance at all of the Paris Society Group restaurants located in France excluding Apicius.

This offer is only valid for bookings of up to five people.

This offer is only valid on days when the establishment is open.

This offer is not valid if the establishment in question is fully or partially privatised.

  1. Exclusive discount on the cost of privatising our areas located in France for private or business events.

This offer is only valid subject to availability in the establishment concerned.

This offer is not valid during the Christmas and Fashion Week periods.

The offer cannot be combined with other benefits or promotions.

Article 30. Liability of Noctis Event

All goods brought into Paris Society Group establishments are done so entirely at the risk of the members and their guests. Noctis Event, its servants and/or agents, shall in no event be liable for any loss, or physical or material damage suffered by any member or guest, however caused, except in the event of death or personal injury to a member or guest resulting from the negligence of Noctis Event, its servants and/or agents. This is not intended to affect any mandatory rights that a member or guest may have under local law that Noctis Event cannot legally restrict or exclude.

Article 31. Miscellaneous

In the event that any of the provisions of these GTCS are declared null and void, the other provisions shall remain valid and in force.

The fact that NOCTIS EVENT does not exercise a right under these GTCS does not imply a waiver of that right.

In the absence of amicable agreement between the parties, any dispute relating to the conclusion, interpretation, or execution of these GTCS will be referred to the territorially competent courts.

Noctis Event may modify or complete these GTCS at any time. A copy of the current GCTS on the date of approval or renewal of membership will be provided by Noctis Event to the Member at the time of approval or renewal of their membership. With each modification of the GTCS, the Member will receive the modified version by email.

The Member may also consult the most recent version of the GTCS of Paris Society Unlimited at www.paris-society.com.

Article 32. Contact Noctis Event
