General Terms & Conditions of Sale

Article 1. Purpose

The purpose of these General Terms and Conditions of Sale (or "GTCS") is to define the terms and conditions for admission to the "Paris Society Unlimited" loyalty program (hereinafter the "Program") offered by NOCTIS EVENT, a société par actions simplifiée (simplified joint stock company) registered in the Paris Trade and Companies Register under no. 433 855 103, with its registered office at 38 avenue des Champs Élysées - 75008 Paris (France).

The General Terms and Conditions apply in full and without reservation to any customer wishing to join the Program (hereinafter referred to as "the Applicant") or to be admitted as a member of the Program (hereinafter referred to as "the Member") in accordance with the terms and conditions set out below.

The Programme enables Members to take part in private events, access a dedicated interface on the existing application and to benefit from specific offers and advantages within NOCTIS EVENT's participating establishments (restaurants and hotels only), the list of which is regularly communicated to the Member.

These General Terms and Conditions apply without prejudice to any rules or regulations applicable in the participating establishments, particularly in terms of opening hours, access for children or disabled persons, access to certain facilities or services, safety regulations, or the admission of pets. The Member is invited to take note of these rules or instructions before making a reservation.

Article 2. Membership conditions

All applications to join the Programme must be made by the Candidate via the Paris Society Unlimited application (hereinafter ‘the ## Application’) or via a tab on the Paris Society website, providing the required information: surname, first name, date of birth, postal address, email address, telephone number and bank details.

The information provided by the Applicant must be complete, accurate and truthful. In order to ensure the accuracy of the information relating to the Candidate's age, proof of identity may be requested.

NOCTIS EVENT reserves the right to refuse any membership application and will inform the Applicant accordingly. All membership applications are subject to prior validation by NOCTIS EVENT, based on criteria such as the Applicant's frequentation of NOCTIS EVENT establishments registered in the Loyalty Program, or the Applicant's possible relationships with other Loyalty Program Members.

If the membership application is accepted and confirmed by NOCTIS EVENT by e-mail, the registration fee will be debited from the bank details provided at the time of the membership application.

Membership is valid for one (1) year from the date of NOCTIS EVENT's confirmation email and may be renewed on expiry subject to NOCTIS EVENT's acceptance of the membership renewal and payment of a new fee.

Membership is strictly reserved for people aged 27 or over, unless an exception is made at the discretion of Paris Society.

Paris Society reserves the right to request an identity document from the Applicant to verify that he/she is of the age required to join the Loyalty Programme.

Article 3. Issue of a membership card

The Member receives a membership card, together with a detailed presentation of the Program's offers, by post to the postal address indicated in the membership application.

The membership card is personal and strictly non-transferable. The card may only be used by the Member whose name appears on it. It may not be sold, lent, or transferred. Each Member may hold only one card and undertakes to inform NOCTIS EVENT without delay in the event of loss or damage.

The membership card is not a means of payment and does not guarantee the reservation.

A member's second absence from a reservation made in his or her name will result in immediate termination of membership, and the member will no longer be entitled to the rights and benefits associated with the Loyalty Programme or to any refund.

Article 4. Access to the Application

Members have access to the Paris Society Unlimited application, which they can download, install and use from their smartphone (iOS or Android) to access their Member profile and make reservations at establishments participating in the Program, in accordance with the terms and conditions described in Article 5 below.

The list of participating establishments and the benefits associated with membership are detailed in the presentation sent to the Member with the membership card and in the Application.

Article 5. Reservations

The Member may, by contacting the participating establishment directly or via the Application, make reservations in establishments participating in the Program and benefit from personalized offers and advantages.

With regard to catering offers, the Member is offered in the participating establishments, depending on his/her request and availability, and for any table of up to 5 (five) people, a table offering a privileged view and location in the establishment in accordance with the preferences generally expressed by the establishment's clientele and meeting the Member's expressed needs.

Article 6. Member's obligations

The Member undertakes to use his or her membership, membership card and/or the Application in accordance with these GTCS. They are responsible for all activities carried out in their capacity as Member, with their membership card and/or with their account.

Members agree to comply with the Paris Society Unlimited Member’s Club Rules, as well as the rules and regulations of participating establishments.

The Member acknowledges and accepts that Member benefits may be subject to certain conditions, such as specific times or restrictions on the number of participants. Any difficulty relating to a reservation is dealt with on a case-by-case basis and may be referred to NOCTIS EVENT as indicated in article 13 below.

Article 7. Membership fees

Membership requires payment of a one-off membership fee valid for as long as the member remains a member, and an annual fee, the amount of which is set by NOCTIS EVENT and indicated at the time of application for membership or renewal.

The single membership fee for the year 2025 is :

(a) 300 euros for members applying for individual membership under 33 years of age ;

(b) 500 euros for members applying for individual membership aged 33 and over ; and

(c) 750 euros for members applying for couple membership.

Current members of the Paris Society Limited Concierge are not required to pay the one-off membership fee.

The annual membership fee is :

- 500 including tax for a single person aged between 27 and 33 at the time of application ;

- 1,000 including tax for a single person aged 33 or over and ;

- 1,700 including tax for a couple.

Paris Society reserves the right to ask the Applicant for proof of identity when applying for membership or renewing membership, in order to determine the amount of the aforementioned fees.

Payment of the membership fee is made online only, by credit card via the "Stripe" secure payment solution. The Member accepts and acknowledges that the use of this payment solution is subject to Stripe's terms of use.

Article 8. Right of withdrawal

In accordance with article L. 221-28 of the French Consumer Code, the Member benefits from a right of withdrawal of 14 (fourteen) clear days from the date of subscription to the Program (formalized by payment via Stripe), without having to give any reasons or pay any penalties, unless the Member has, within this 14-day period, already benefited from the advantages linked to his/her membership.

To exercise this right, the Member must notify his or her decision to withdraw in writing, by post, to the following address NOCTIS EVENT - Programme Paris Society Unlimited - 38, avenue des Champs Élysées - 75008 Paris.

The withdrawal period is deemed to have been respected if the notification is sent before expiry of the aforementioned 14-day period.

In the event of withdrawal, the benefits and obligations resulting from membership will be cancelled, and NOCTIS EVENT will refund the final membership fee in full as soon as possible, and no later than 30 (thirty) days following receipt of the withdrawal notice.

Article 9. Duration

These GTCS apply for the duration of the Member's membership of the Loyalty Program, subject to the adoption by NOCTIS EVENT of new general terms and conditions of sale and their notification to the Member by e-mail or via the Application.

Members may terminate their membership each year at the time of renewal.

NOCTIS EVENT may also terminate membership in the event of non-compliance by the Member with all or part of the GTCS and/or the rules or instructions of the establishments visited, without reimbursement of the membership fee paid by the Member and without prejudice to obtain compensation for any damage suffered.

In the event of a serious breach by one of the parties of one of its essential contractual obligations, the other party is entitled to terminate the GTCS automatically and by operation of law, without recourse to legal proceedings, 1 (one) month after formal notice has been sent to the defaulting party by registered letter with acknowledgement of receipt, and if no corrective action has been taken within 1 (one) month of receipt of said formal notice.

Article 10. Force majeure

Each of the parties shall be exonerated from all liability in the event of total or partial breach, even temporary, of any of its obligations under these GTCS caused by a case of force majeure, defined as an event of an insurmountable and irresistible nature, resulting from an event beyond the control of the parties, and in particular any event or series of events of a climatic, pandemic, bacteriological, military, political or diplomatic nature.

In the event of a case of force majeure, the party concerned will promptly notify the other party of the situation by any means (including e-mail), specifying the nature of the event or events in question and their impact on its ability to fulfill its obligations, and its obligations will be suspended for a period of 4 (four) weeks. After this period of suspension, and if the party concerned justifies that the situation of force majeure continues, the contract will be terminated by operation of law after sending a new notification by any means (including email).

We remind you that, in accordance with case law, the debtor of an obligation to pay may not invoke a case of force majeure to excuse himself from this obligation.

Article 11. Protection of personal data

NOCTIS EVENT is responsible for processing the personal data provided or communicated by the Applicant and the Member.

In this respect, NOCTIS EVENT undertakes to comply with the French Data Protection Act n°78-17 of January 6, 1978 and the General Data Protection Regulation ("GDPR") of April 27, 2016.

The processing of personal data is carried out with the consent of the persons concerned and/or for the purposes of providing the services and benefits linked to the Program, for as long as is necessary for the processing concerned.

The personal data concerned includes identifying information such as the surname, first name, date of birth, telephone number, e-mail address, postal address, sector of activity, profession and social networks of the Candidate and the Member.

Candidate data is kept for 5 (five) years from the date of transmission, after which it is deleted.

Member data is kept for the duration of the membership and for a further period of 5 (five) years after the end of the membership, in application of the limitation period set out in article 2224 of the French Civil Code.

Information on the Member's family, such as the surname and first name of the spouse, is only collected if the Member communicates it, and the Member undertakes to inform the person concerned of this communication.

NOCTIS EVENT does not process "sensitive" data. Comment fields, which do not have to be filled in, can be used by Members to add information when making a reservation.

Personal data may be used for communications and promotional offers, unless the Member objects.

NOCTIS EVENT's use of partners or subcontractors may involve the sharing of all or part of the data; NOCTIS EVENT undertakes to obtain from its partners and/or subcontractors commitments and guarantees of compliance with the GDPR.

NOCTIS EVENT undertakes to implement security measures to protect personal data, in particular against any unauthorized access or intrusion into its network and databases.

Members have the right to access, rectify, modify and/or delete their personal data by writing to: données.privées@paris-society.com. NOCTIS EVENT will respond to such a request within a maximum of 30 (thirty) days.

For any questions or additional information, the Member may consult the Privacy Policy and, if necessary, consult or file a complaint with the CNIL (<www.cnil.fr>).

Article 12. Intellectual property rights

The content, brands, names, logos, websites and applications used by NOCTIS EVENT as part of the Program are its exclusive property or its partners and may not therefore be reproduced or used without prior authorization from NOCTIS EVENT.

NOCTIS EVENT's liability is limited to direct damage caused by a proven fault and, in any event, capped at the amount of the annual membership fee applicable at the date of the damage.

Article 14. Miscellaneous

In the event that any of the provisions of these GTCS are declared null and void, the other provisions shall remain valid and in force.

The fact that NOCTIS EVENT does not exercise a right under these GTCS does not imply a waiver of that right.

In the absence of amicable agreement between the parties, any dispute relating to the conclusion, interpretation, or execution of these GTCS will be referred to the territorially competent courts.
